Concrete City Records Video Contest Rules & Terms of Service/Participation

Contest Summary:

1. Download the song(s).

2. Make the video(s).

3. Post your entry/entries on LazyPoets.com, YouTube.com or Facebook.com.

4. Submit your entry/entries by 11:59 p.m. on Tuesday, January 4th, 2011 by email, to Music@ConcreteCityRecords.com, with your name & the information outlined below and the link to your video(s).

5. Send the link(s) to your friends, get them to comment and share your video with others.

6. We watch the videos and select the winners, announcing and contacting the winner(s) by Tuesday, January 18^th, 2011.

7. The winners respond by email/phone and provide payment and/or mailing information and a digital or CD/DVD copy of their winning video by email or mail to the address provided in the Contest Rules.

8. The winners get their prizes, we promote the winner(s), video(s) and the song(s) online and in other forms of media.

9. Have fun!

Contest Outline

1. We will provide the link for you to download the song(s) for which you choose to create a video.

2. You can create a music video for one or two separate videos for both of the two songs – Signe Miranda's Veranda: September Night or Brian Allossery and the Lazy Poets: Crystal Ball, with the .wav file(s) provided. Feel free to make and submit as many entry videos as you would like.

3. Upload your video entry to your LazyPoets.com, YouTube.com or Facebook.com page and email the link to Music@ConcreteCityRecords.com, with the following information (so that we may contact you if you win).

   Mailing Address: - you don't need to provide this until you're selected as a winner.

   Preferred form of Payment Receipt (if you win): email money transfer, Paypal or cheque

   * (If you are under the age of 18 and over the age of 13 on or before the date when you submit your entry, please include written permission from your parent/guardian, scanned & included in your email submission, or have your parent/guardian email us stating that he/she is your parent/guardian and gives you permission to enter this contest.)

   (Your personal information will be kept safe, but you allow us to publish your name and/or any picture you provide, if you are the winner or runner-up. If you provide a “Name As You Would Like it to Appear in the Credits”, we will publish that name instead of your Full Legal Name, provided that it does not include any profanities, likeness to another person for the purpose of pretending to be that person, or any similar such content.)

4. We suggest that it would be best if your entry contains content which is viewable by the widest possible audience, i.e. Free from 18+ content, as we would like the winning videos to be allowed on sites available to all-ages and for television programming.

Contest Rules & Terms of Service/Participation

Contest Rules

1. This contest is open to participants over the age of 18 or between the ages of 14 and 18 (with the written permission of their parent(s)/guardian(s) - to be provided with their email submission.) The contest is not open to employees of Concrete City Records.

2. You may submit one or multiple videos for this contest, by uploading your video submission to one of the websites listed in this Contest and sending us the link to your submission through email to Music@ConcreteCityRecords.com. There is no fee for submissions.

3. There are 2 Grand Prizes of $100 + a CD Gift Bag each, one for the submission of the winning video for Signe Miranda's Veranda: September Night and one for the submission of the winning video for Brian Allossery and the Lazy Poets': Crystal Ball. There are 2 Secondary Prizes of a CD Gift Bag each, one for the submission of the runner-up video for Signe Miranda's Veranda: September Night and one for the submission of the runner-up video for Brian Allossery and the Lazy Poets': Crystal Ball. (The CD Gift Bag contains 1 Brian Allossery and the Lazy Poets CD, 1 Signe Miranda's Veranda CD and other surprises.)

4. The Submission Deadline is 11:59 p.m. on Tuesday, January 4th, 2011. The contest winners will be selected and announced after Tuesday, January 18^th, 2011 (Contest Closing Date). Concrete City Records reserves the right to extend the Contest deadlines for any reason that we deem necessary/appropriate or to terminate all or part of the Contest if we do not receive adequate submissions.

5. The monetary prizes will be provided to the winners in Canadian dollars, through email money transfer, Paypal or cheque. We will contact the winners to determine the most appropriate means. The monetary prizes will be sent to the winner(s) within 8 weeks of the selection & acceptance of the winners. (That is within 8 weeks of the winner being selected and the response being received by Concrete City Records and the video file/disc being received by Concrete City Records.) The winners are responsible for providing accurate payment information within 7 business days of being selected as a winner.

6. The CD Gift Bag prizes will be mailed to the winners, shipping & handling included within 8 weeks of the selection & acceptance of the winners. Concrete City Records will not be held responsible for lost, delayed or damaged mail sent to or from Concrete City Records. The winners are responsible for providing an accurate mailing address & monetary prize delivery preference and information when responding to the winner selection email/call, within 7 days of the Contest Closing Date. (That is within 8 weeks of the winner being selected and the response being received by Concrete City Records and the video file/disc being received by Concrete City Records.)

7. The winner(s) must reply to Concrete City Records by phone/email within 7 days of receiving the call/email indicating that they have won or a new winner(s) may be selected. You may contact us both by email and phone, if you wish. Concrete City Records is not responsible for lost/deleted/delayed calls/emails. The winner(s) are responsible for providing Concrete City Records with a digital version of the winning video, by providing a link for us to download the video, or by sending it to Music@ConcreteCityRecords.com through a file-sending service, such as Yousendit.com, or by mailing a CD/DVD containing the video, to PO Box 6069, Station A, Toronto, ON, M5W 1P5, within 7 days of responding to the email/phone call from Concrete City Records, indicating you as a winner. If you do not provide us with the video, in one of the aforementioned means/formats, you will forfeit your selection as a winner in the Contest and a new winner will be selected. (We need to have access to the video directly, so that we may post/promote it in various forms of media.) We suggest that you provide the video in Quicktime (preferably h264 at 100%), WMV (with equivalent quality), AVI or Flash. HD is also preferable, but not required.

8. The winning video(s) will be selected based on the appropriateness of the video(s) for representing the song/artist(s) involved in the Contest. This may include quality, artistic merit, relevance and other factors deemed appropriate by Concrete City Records.

9. The Participants in the Contest agree that they are not entitled to any money, royalties or other compensation beyond that which is outlined in the Contest Rules.

10. The Participants agree to accept full responsibility for the content that they provide or upload in relation to this contest.

11. By participating in this Contest, you give Concrete City Records permission to post or re-post and promote your contest entry/video all or in part on/in any form of media, without further compensation, beyond that which is outlined in the Contest Rules, for the purpose of promoting the song(s), artist(s) and/or videos involved in this Contest. By providing Concrete City Records with your winning entry video, you give Concrete City Records and any current or future affiliates, the non-exclusive, world-wide, perpetual license to dispay, publish or transmit your video content in any form of media currently available or available in the future. You retain the copyright to your video content only and you do not have any claim to the song(s) provided to you for the contest, beyond the acceptable uses outlined in this contest. You remain the credited “Director” of your video submission.

12. By entering this Contest, you confirm that the information you provided is accurate. Concrete City Records is not responsible for any inaccurate information provided by the participants of this Contest.

 

Terms of Service/Participation

1. We will provide you with the .wav file(s) for the songs that the Contest pertains to. You will only use these .wav files for creating a music video for this Contest and you will not sell or otherwise publish all or part of the song(s) or video(s) containing this/these song(s), without prior written permission from the copyright holders, except in the ways outlined in the Contest rules.

2. You shall be solely responsible for your own Content and the consequences of submitting and publishing your Content to this Contest. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish Content that you submit; and you license Concrete City Records all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for publication in promotion of the Contest and related singles/albums/bands, pursuant to these Terms of Service/Participation.                                                                         
3. For clarity, you retain all of your ownership rights in your Content. However, by submitting Content to this Contest, you hereby grant Concrete City Records a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Contest and promoting the related singles/albums/bands and Concrete City Records' (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the video submissions (and derivative works thereof) in any media formats and through any media channels. The above licenses granted by you are perpetual and irrevocable, except for through written consent by both you and Concrete City Records.                                                                                                                                                                    
4. You further agree that Content you submit to this Contest will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant Concrete City Records all of the license rights granted herein.                                                                                                                                                             
5. You further agree that you are fully responsible for the content that you submit to the Contest and you have the permission of those persons visible in the video(s) to use their likenesses for such purposes. Furthermore, you agree that you will not post Content or other material that is contrary to the Terms of Service/Participation of the websites to which you post your video/Contest entry or which may be contrary to applicable local, national, and international laws and regulations.                                                                                                                                                                                                                 
6. Concrete City Records does not endorse any Content submitted to the Contest by a Contest entrant, or any opinion, recommendation, or advice expressed therein, and Concrete City Records expressly disclaims any and all liability in connection with such Content. Concrete City Records does not permit copyright infringing activities and infringement of intellectual property rights in the Contest, and Concrete City Records will request removal of such infringing Content if properly notified that such Content infringes on another's intellectual property rights or is contrary to the applicable Contest regulations. Concrete City Records reserves the right to request removal of Content that does not adhere to these rules or content that Concrete City Records believes to be defamitory to the artists who's audio works are being respresented by the video(s) submitted, without prior notice.                                                                                                                                                                                                                                                                           
7. Concrete City Records reserves the right to decide whether Content violates these Terms of Service/Participation for reasons other than copyright infringement, such as, but not limited to, pornography, obscenity, or other such similar reasons.                                                                                                   
8. Warranty Disclaimer: YOU AGREE THAT YOUR USE OF THE CONTENT PROVIDED & ENTRY IN THE Contest SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, CONCRETE CITY RECORDS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE Contest AND YOUR PARTICIPATION THEREOF. Indemnity: To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Concrete City Records, its affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the content and Contest; (ii) your violation of any term of these Terms of Service/Participation; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service/Participation and your use of the Services & Contest Materials.                                                                                                                                                                                                
11. Ability to Accept Terms of Service/Participation: You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service/Participation, and to abide by and comply with these Terms of Service/Participation. In any case, you affirm that you are over the age of 13, as the Contest/Service is not intended for children under 13. If you are under 13 years of age, then please do not enter the Contest. Talk to your parent(s)/guardian(s) about what Contests might be appropriate for you, or encourage your parent(s)/guardian(s) to participate instead.                                                                                                                                                                                                                                                    
12. Assignment: These Terms of Service/Participation, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Concrete City Records without restriction.                                                                                                                                                                       
13. General: You agree that: (i) the Contest/Services shall be deemed solely based in Ontario; and (ii) the Contest/Service shall be deemed to be associated with our passive website that does not give rise to personal jurisdiction over Concrete City Records, either specific or general, in jurisdictions other than Ontario. These Terms of Service/Participation shall be governed by the internal substantive laws of the Province of Ontario, without respect to its conflict of laws principles. Any claim or dispute between you and Concrete City Records that arises in whole or in part from the Contest/Services shall be decided exclusively by a court of competent jurisdiction located in Toronto, ON, Canada. These Terms of Service/Participation and any other legal notices published by Concrete City Records on our website(s), shall constitute the entire agreement between you and Concrete City Records concerning the Contest/Services. If any provision of these Terms of Service/Participation is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service/Participation, which shall remain in full force and effect. No waiver of any term of this these Terms of Service/Participation shall be deemed a further or continuing waiver of such term or any other term, and Concrete City Records' failure to assert any right or provision under these Terms of Service/Participation shall not constitute a waiver of such right or provision. Concrete City Records reserves the right to amend these Terms of Service/Participation at any time and without notice, and it is your responsibility to review these Terms of Service/Participation for any changes. Your use of the Services pertaining to the Contest following any amendment of these Terms of Service/Participation will signify your assent to and acceptance of its revised terms. YOU AND CONCRETE CITY RECORDS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES/PARTICIPATION MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
